These Terms of Service (the "Terms") govern your access to and use of the MeasurePRO website (measure-pro.app), the MeasurePRO desktop application for Windows, and the MeasurePRO+ premium modules (collectively, the "Services"), provided by SolTecInnovation ("SolTecInnovation", "we", "us", or "our"). By downloading, installing, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.
MeasurePRO is professional measurement and surveying software for field teams. It integrates data from laser distance meters and GPS/GNSS receivers, supports photo and video documentation, and provides data logging, reporting, and cloud synchronization. MeasurePRO+ adds premium capabilities such as intelligent object detection, clearance alerts, Envelope Clearance, Convoy Guardian, Permitted Route Enforcement, 3D point cloud scanning, and GNSS road profiling. Feature availability depends on your subscription tier and connected hardware.
Certain features require an account. You agree to provide accurate, current, and complete information during registration and to keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at Info@SolTecInnovation.com if you suspect unauthorized use of your account.
Subject to these Terms and payment of applicable fees, SolTecInnovation grants you a limited, non-exclusive, non-transferable, revocable license to install and use the MeasurePRO desktop application on devices you own or control, solely for your internal business purposes. You may not (a) copy, modify, or create derivative works of the software; (b) reverse engineer, decompile, or disassemble the software except to the extent permitted by applicable law; (c) rent, lease, sell, sublicense, or redistribute the software; (d) remove or alter any proprietary notices; or (e) use the Services to build a competing product.
Some parts of the Services are offered on a paid subscription basis. Prices, subscription tiers, and included features are described on our pricing page and may change with reasonable notice. Fees are payable in advance and, except where required by law, are non-refundable. If a payment cannot be processed or a subscription lapses, we may suspend or limit access to paid features until payment is resolved. Applicable taxes are your responsibility.
The Services interoperate with third-party hardware (such as laser distance meters and GNSS receivers) and third-party services. We do not manufacture that hardware and are not responsible for its performance, accuracy, or availability. Your use of third-party hardware and services is governed by their respective manufacturers' or providers' terms.
The Services are decision-support tools only. Measurements, clearance alerts, route analyses, cross-slope and curve data, and any other outputs of the Services depend on hardware calibration, GPS/GNSS signal quality, environmental conditions, and correct operator configuration, and may contain errors or inaccuracies. You are solely responsible for independently verifying all measurements and analyses before relying on them, and for complying with all applicable laws, permits, engineering standards, and safety regulations. The Services do not replace the judgment of qualified professionals, and SolTecInnovation is not responsible for decisions made, or actions taken, in reliance on outputs of the Services.
You retain ownership of the measurement data, photos, videos, logs, and other content you create or upload through the Services ("Customer Data"). You grant SolTecInnovation a limited license to host, process, transmit, and display Customer Data solely as necessary to provide the Services. You are responsible for the legality of your Customer Data and for maintaining your own backups of data stored locally on your devices. We may use aggregated, de-identified data to improve the Services.
You agree not to misuse the Services, including by (a) interfering with or disrupting the Services or related infrastructure; (b) attempting to gain unauthorized access to any systems, accounts, or data; (c) using the Services in violation of any applicable law or regulation; (d) transmitting malware or harmful code; or (e) sharing license keys, activation codes, or account credentials outside your organization.
The Services, including all software, designs, logos, documentation, and content provided by SolTecInnovation, are and remain the exclusive property of SolTecInnovation and its licensors, protected by copyright, trademark, and other laws. Except for the limited license expressly granted in these Terms, no rights are granted to you.
We may update, modify, or discontinue features of the Services at any time. Software updates may be required for continued use, security, or compatibility. We will make reasonable efforts to communicate material changes that adversely affect paid features.
These Terms apply for as long as you use the Services. We may suspend or terminate your access if you materially breach these Terms, fail to pay applicable fees, or use the Services in a way that creates risk or legal exposure for us or others. Upon termination, your license ends and you must stop using the software; sections that by their nature should survive (including Sections 7, 8, 10, 13, 14, and 15) will survive termination.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT MEASUREMENTS OR ANALYSES WILL BE ACCURATE OR COMPLETE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLTECINNOVATION AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
You agree to indemnify and hold harmless SolTecInnovation and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Customer Data, your use of the Services in violation of these Terms, or your violation of applicable law.
We may revise these Terms from time to time. When we make material changes, we will publish the updated version on this page with a new version number and effective date, and where required we may ask you to re-accept the Terms. Continued use of the Services after the effective date of revised Terms constitutes acceptance of the changes.
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The courts located in the Province of Quebec will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to their jurisdiction.
